End User License Agreement (EULA)

Agreement to Terms

This End User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and Tesla Institute of MRI Technology ("Company," "we," "us," or "our") for the use of the TeslaMR Learn platform ("Service," "Platform," or "Application").

By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree to these terms, do not use the Service.

1. License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your personal educational purposes in connection with MRI technology training and certification programs.

Permitted Uses:

  • Accessing educational content, videos, and course materials
  • Taking quizzes and assessments
  • Tracking your learning progress
  • Participating in cohort-based learning activities

Prohibited Uses:

  • Sharing your account credentials with others
  • Copying, distributing, or reproducing course materials without permission
  • Using the Service for any commercial purpose without authorization
  • Attempting to reverse engineer, decompile, or extract source code
  • Interfering with or disrupting the Service or servers
  • Using automated tools or bots to access the Service
  • Cheating on quizzes or assessments

2. Account Registration and Security

Your Responsibilities:

  • You must provide accurate and complete registration information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized access or security breach

Account Termination: We reserve the right to suspend or terminate your account at any time for:

  • Violation of this Agreement
  • Fraudulent or illegal activities
  • Non-payment of fees (if applicable)
  • Prolonged inactivity
  • Any reason at our sole discretion

3. Intellectual Property Rights

Ownership: All content, materials, features, and functionality of the Service, including but not limited to:

  • Text, graphics, logos, images, videos
  • Course materials and educational content
  • Software, code, and algorithms
  • Trademarks and service marks

are owned by Tesla Institute of MRI Technology or our licensors and are protected by United States and international copyright, trademark, patent, and other intellectual property laws.

Limited License to User Content: By submitting content to the Service (e.g., profile information, quiz responses), you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content solely for the purpose of providing and improving the Service.

4. Educational Content and Assessment

Course Materials:

  • All course materials are provided for educational purposes only
  • Content is subject to change without notice
  • We do not guarantee that course materials are error-free or complete

Quizzes and Assessments:

  • All quiz attempts and results are monitored and recorded
  • Academic dishonesty, including cheating or sharing answers, is prohibited
  • We reserve the right to invalidate quiz results if misconduct is suspected
  • Quiz timing and attempt limits are enforced automatically

Certification:

  • Successful completion of course requirements may result in certification
  • Certifications are subject to verification of completion and compliance with program requirements
  • We reserve the right to revoke certifications obtained through fraudulent means

5. Privacy and Data Collection

Data We Collect:

  • Account information (name, email, profile data)
  • Learning progress and quiz performance
  • Usage analytics and interaction data
  • Authentication and session information

How We Use Your Data:

  • To provide and improve the Service
  • To track your learning progress and performance
  • To communicate with you about your account and courses
  • To analyze and improve educational outcomes
  • To comply with legal obligations

Third-Party Services: The Service integrates with third-party services including but not limited to:

  • Supabase (database and authentication)
  • PostHog (analytics)
  • ScanLab MR (MRI scanning practice data)
  • Google Calendar (event scheduling)

Your use of these services is subject to their respective privacy policies.

6. Payment and Fees

Fees:

  • Some features or courses may require payment
  • All fees are due in advance and are non-refundable unless otherwise stated
  • We reserve the right to change fees at any time with prior notice

Payment Processing:

  • Payments are processed through third-party payment processors
  • You agree to provide accurate payment information
  • You authorize us to charge the applicable fees to your payment method

Refunds:

  • Refund requests must be submitted within 7 days of payment
  • Refunds are granted at our sole discretion
  • Partial completion of a course does not entitle you to a prorated refund

7. Disclaimers and Limitations of Liability

Service Availability: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

No Guarantee:

  • We do not guarantee that the Service will be uninterrupted, secure, or error-free
  • We do not guarantee that course completion will result in employment or certification
  • We are not responsible for technical issues, including loss of data or access

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TESLA INSTITUTE OF MRI TECHNOLOGY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or malware transmitted through the Service
  • Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the Service

8. Indemnification

You agree to indemnify, defend, and hold harmless Tesla Institute of MRI Technology, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including but not limited to attorney's fees) arising from:

  • Your use of the Service
  • Your violation of this Agreement
  • Your violation of any third-party rights, including intellectual property rights
  • Any fraudulent or illegal activities

9. Modification of Terms

We reserve the right to modify this Agreement at any time. Changes will be effective immediately upon posting to the Service. Your continued use of the Service after changes are posted constitutes your acceptance of the modified Agreement.

We will make reasonable efforts to notify you of material changes via email or through the Service.

10. Termination

By You: You may terminate this Agreement at any time by discontinuing use of the Service and closing your account.

By Us: We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to breach of this Agreement.

Effect of Termination: Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account and all associated data
  • You will not be entitled to any refund of fees paid
  • Provisions of this Agreement that by their nature should survive termination shall survive

11. Governing Law and Dispute Resolution

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Virginia, United States, without regard to its conflict of law provisions.

Dispute Resolution: Any dispute arising out of or relating to this Agreement shall be resolved through:

  1. Informal Negotiation: Contact us at [email protected] to attempt to resolve the dispute informally
  2. Binding Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association
  3. Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit

Venue: Any legal action not subject to arbitration shall be brought exclusively in the courts located in the State of Virginia.

12. Miscellaneous

Entire Agreement: This Agreement constitutes the entire agreement between you and Tesla Institute of MRI Technology regarding the Service and supersedes all prior agreements.

Severability: If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver: Our failure to enforce any right or provision of this Agreement shall not be deemed a waiver of such right or provision.

Assignment: You may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement at any time without notice.

No Agency: Nothing in this Agreement shall be construed to create a partnership, joint venture, or agency relationship between you and Tesla Institute of MRI Technology.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, natural disasters, or government actions.

14. Acknowledgment

BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE.
